In early 2019 GIL was reported to be in advanced talks with Tata Group (India), along with GIC (Singapore) and SSG Capital Management (Hong Kong) to co-invest in GMR Airports Limited (GAL). Tata was looking to acquire approximately 20% of GAL, with GIC and SSG buying up to 15% and 10% respectively, while GMR’s Employee Welfare Trust would retain a 2% stake. GMR is expected to utilize proceeds of the proposed minority sale to retire outstanding debt and fuel GMR’s growth plans in the airport sector. The deal would also include earn-out provisions linked to prescribed milestones and performance metrics over the inital five years for the deal, allowing GMR to increase it’s stake to 62% on reaching these targets. The proposed deal included a non-compete clause restricting Tata Group from entering the airports business.
